    A Quick Class on SaaS: Tips on Negotiating SaaS Agreements

    Working with software companies is required to successfully operate in today’s world; however, agreeing to a “software as a service” vendor’s proposed agreement is not. Districts that agree to a vendor’s form agreement without reading the fine print may be agreeing to one-sided terms that could subject them to liability or increased or wasted costs. This presentation will explore typical SaaS contract provisions, identify potentially problematic terms and conditions, and provide tips on negotiating SaaS agreements to better protect your district.

    This presentation will delve into the anatomy of contracts with a focus on analyzing contractual exposure and best practices for mitigation of liability to the District. We will review real cases involving contractual exposures, clarify indemnity, defense, and hold harmless clauses, discuss the importance of appropriate insurance coverage, differentiate between Cyber Liability and Technology Errors & Omissions insurance, debate the pros and cons of limitation of liability clauses, and review Certificate of Insurance, endorsements, and waivers of subrogation, including their necessity and who handles them.
